Quoth Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you ("User," "Customer," "you," or "your") and Quoth, LLC, a Florida limited liability company ("Quoth," "Company," "we," "us," or "our"), governing your access to and use of the Quoth software platform, website, applications, real-time collaboration tools, transcript-generation tools, and related services (collectively, the "Services").

By creating an account, starting a free trial, subscribing to a paid plan, or otherwise accessing the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

We may update these Terms from time to time. We'll post the updated version with a new "Last Updated" date, and material changes will be communicated by email or in-app notice. Continued use of the Services after changes take effect constitutes acceptance.

Subject to your compliance with these Terms and payment of applicable fees, Quoth grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your professional court reporting, scoping, or transcript-production work.

4. Accounts

You're responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@quoth.pro if you suspect unauthorized access.

Quoth may suspend or terminate accounts reasonably believed to be compromised, fraudulent, or in violation of these Terms.

5. Subscriptions, Free Trial, Fees, and Billing

5.1 Plans

Quoth is offered under multiple subscription tiers (currently: Annotate, Reporter, and Elite), each with different features and pricing as described in the pricing section of our website. Pricing is subject to change; we'll provide reasonable advance notice before a price change affects your then-current subscription.

5.2 Free Trial

Quoth may offer a free trial period for new subscribers. Trial length and included features will be disclosed at signup. Unless you cancel before the trial ends, your account will automatically convert to a paid subscription and your payment method will be charged. We may modify or discontinue trial offers at any time.

5.3 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected at signup) and automatically renew unless canceled prior to the renewal date. You authorize Quoth to charge your payment method on file for all recurring charges.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide prorated refunds for early cancellation.

5.5 Usage-Based / ASR Fees

Certain features (e.g., real-time streaming transcription, AI-assisted draft generation) may incur usage-based charges tied to underlying speech-recognition processing costs. Applicable usage fees will be disclosed before you incur them and billed per your plan's terms.

5.6 Refunds

Except where required by law or expressly stated otherwise, fees are non-refundable, including for partial billing periods, unused features, or early cancellation.

6. AI-Assisted Transcription Disclaimer

This section is important — please read carefully.

Quoth uses automated speech recognition (ASR), artificial intelligence, and machine-learning technologies (including third-party ASR providers) to generate draft transcripts, speaker labels, and related outputs. You acknowledge and agree that:

7. Recording Responsibility

You are solely responsible for ensuring that any audio or video recording made using the Services complies with applicable law, court rules, consent requirements, and confidentiality obligations (including recording-consent laws that vary by state and by whether a proceeding is one-party or two-party consent). Quoth does not determine the legality of any given recording and is not liable for claims arising from unauthorized or unlawful recordings made by users.

8. User Content and Ownership

You retain full ownership of all audio recordings, transcripts, exhibits, notes, case files, and other materials you upload, generate, or store through the Services ("User Content"). Quoth claims no ownership over User Content.

You grant Quoth a limited license to process, store, transmit, and display User Content solely as necessary to provide and improve the Services. This license ends when your User Content is deleted from our systems, except as needed for backups or legal compliance.

You represent that you have the necessary rights and authority to upload and process any User Content through the Services, including any consents required from deponents, witnesses, or other parties to a proceeding, and that doing so does not violate any confidentiality order, sealed-record designation, or applicable law — particularly for sensitive matters such as family law or dependency proceedings involving minors.

9. Real-Time Collaboration Features

Certain Quoth plans include real-time, multi-party collaboration between a reporter and scopist during live proceedings. You acknowledge that real-time collaborative editing involves synchronized data transmitted over the internet, and that network conditions, connectivity interruptions, or third-party infrastructure issues may affect performance. Quoth is not liable for transcript discrepancies caused by connectivity interruptions during live collaboration, though we design the Services to handle reconnection and conflict resolution gracefully.

10. Data Retention

Audio recordings processed through the Services are stored locally on your own device and are not retained on Quoth's servers. To generate a draft transcript, audio is transmitted transiently to Quoth's third-party automated speech recognition ("ASR") provider for processing and is not stored persistently by that provider beyond what is necessary to complete processing. Quoth does not have custody of your audio files and cannot recover, back up, or restore them if lost, corrupted, or deleted from your device — you are solely responsible for maintaining your own backups, including to satisfy any professional record-retention obligations that apply to you as a certified reporter under state rules.

If you are subject to a court order, agency policy, or other restriction on transmitting audio to third-party or cloud-based services, you are responsible for confirming whether use of Quoth's AI-assisted transcription features is permitted under that restriction before using them.

Transcript data and other content you actively save or sync through the Services may be stored on Quoth's servers as necessary to provide the Services; see our Privacy Policy for details on how that data is handled.

11. Service Availability

We aim for reliable uptime but do not guarantee uninterrupted access. The Services may be unavailable due to maintenance, updates, third-party outages (including our ASR provider), or circumstances beyond our control. We are not liable for losses resulting from downtime.

13. Intellectual Property

The Services, including all software, source code, design, branding (including the Quoth name and logo), and underlying technology, are owned by Quoth or its licensors and protected by intellectual property law. Nothing in these Terms transfers any Quoth IP rights to you.

14. Termination

We may suspend or terminate your access if: fees go unpaid, fraud is suspected, you violate these Terms, or your conduct threatens the security or integrity of the Services. Upon termination, your license to use the Services ends immediately. Sections concerning IP, disclaimers, liability, and indemnification survive termination.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY. QUOTH DOES NOT WARRANT THAT TRANSCRIPTION OUTPUT WILL BE ERROR-FREE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. QUOTH'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO QUOTH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Indemnification

You agree to defend, indemnify, and hold harmless Quoth, LLC, its members, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from: your User Content, your violation of these Terms, your violation of applicable law or professional obligations, or your use of the Services.

18. Dispute Resolution, Governing Law, and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services shall be brought exclusively in the state or federal courts located in Lee County, Florida, and you consent to personal jurisdiction and venue there.

Class Action Waiver: To the fullest extent permitted by law, disputes must be brought on an individual basis only. You waive any right to participate in a class, collective, or representative action against Quoth.

19. Miscellaneous

These Terms constitute the entire agreement between you and Quoth regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Quoth's failure to enforce a provision is not a waiver of that provision. You may not assign your rights under these Terms without our written consent.
